Welcome to DigiAus. By accessing or using our website and services, you agree to be bound by the following Terms and Conditions. Please read them carefully before proceeding.
1. Services
DigiAus provides digital growth services for Australian retailers, including:
- WooCommerce website design and development
- POS system integration .
- Loyalty and marketing automation apps
- Integration with third-party systems (e.g., Xero, Pronto).
- Ongoing technical support and consultancy
All services are subject to individual agreements or proposals signed by both parties.
2. Client Responsibilities
- Provide accurate and timely information required for service delivery.
- Ensure you have the necessary rights to any materials, data, or software provided to us.
- Maintain backups of your own content and data unless otherwise agreed.
- Make payments in accordance with the agreed project scope and timelines. .
3. Payment Terms
- All fees are quoted in AUD and are exclusive of GST unless stated otherwise.
- A deposit may be required before commencement of work.
- If required by law, regulation, or court order.
- Late payments may incur interest or suspension of services.
- Subscriptions (e.g., support, hosting, or software licenses) are billed monthly or annually as agreed.
4. Intellectual Property
- Unless otherwise agreed in writing, all intellectual property created during the project (e.g., code, designs, content) remains the property of DigiAus until full payment is received.
- Upon full payment, ownership of deliverables specifically created for the client will be transferred, excluding third-party software or plugins.
5. Third-Party Integrations
Our services may include integration with third-party platforms (e.g., WooCommerce, Xero, Pronto, email marketing tools). DigiAus is not responsible for:
- Changes, outages, or issues caused by third-party systems.
- Licensing or service costs associated with those platforms.
6. Confidentiality
Both parties agree to maintain the confidentiality of any sensitive or proprietary information shared during the course of the project, including customer data, business strategies, and login credentials.
7. Limitation of Liability
To the maximum extent permitted by law:
- DigiAus is not liable for any indirect, incidental, or consequential damages.
- Our total liability for any claim related to our services is limited to the amount paid by the client for that specific service in the last 6 months.
8. Termination
Either party may terminate the agreement:
- With 14 days’ written notice for any reason.
- Immediately if the other party breaches these Terms or acts unlawfully.
Upon termination, all outstanding payments must be settled. Any unused deliverables will be handed over where applicable.
9. Modifications
We reserve the right to modify these Terms at any time. Changes will be posted on our website, and continued use of our services implies acceptance of the updated terms.
10. Governing Law
These Terms and Conditions are governed by the laws of New South Wales, Australia, and any disputes will be handled in the courts of that jurisdiction.
